POWERPREP TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of PowerPREP, a non-clinical membership, coaching, education, and skill-building program created, owned, and operated by Life Connect Health, LLC, a Tennessee limited liability company (“Life Connect Health,” “we,” “us,” or “our”).

Throughout these Terms, “PowerPREP” refers to the non-clinical program and its associated membership, coaching services, educational resources, digital content, platform features, communications, groups, workshops, and other services offered by Life Connect Health, LLC.

Please read these Terms carefully. By creating a PowerPREP account, purchasing a PowerPREP membership, accessing the PowerPREP platform, participating in PowerPREP services, or otherwise using PowerPREP, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you should not use PowerPREP.

1. ABOUT POWERPREP

PowerPREP is a non-clinical coaching, education, and skill-building program developed and operated by Life Connect Health, LLC.

Depending on your membership or program, PowerPREP may include:

2. POWERPREP IS A NON-CLINICAL PROGRAM

PowerPREP is a non-clinical program. PowerPREP does not provide medical care, psychotherapy, psychiatric care, psychological treatment, diagnosis, or other healthcare services.

Participation in PowerPREP does not establish a physician-patient, psychologist-patient, therapist-client, or other healthcare provider-patient relationship between you and Life Connect Health, LLC, PowerPREP, or any coach, employee, contractor, educator, consultant, or other individual participating in the PowerPREP program.

PowerPREP services are not intended to provide:

Information and support provided through PowerPREP, including coaching, educational materials, videos, courses, workshops, groups, communications, or other program resources, are intended for educational, informational, coaching, and skill-building purposes only.

You should not use PowerPREP as a substitute for care from an appropriately licensed healthcare professional.

You should not delay, discontinue, or modify medical or mental health treatment based solely on information or coaching received through PowerPREP.

3. POWERPREP COACHING

PowerPREP coaching is intended to help members develop skills, identify goals, practice strategies, improve accountability, and apply educational concepts to everyday life.

PowerPREP coaches may discuss subjects related to emotions, emotional regulation, behavior, stress, anxiety, relationships, communication, routines, coping strategies, wellness, personal development, or other areas relevant to a member's goals.

Discussion of these subjects does not convert PowerPREP coaching into psychotherapy, psychological treatment, medical care, or another clinical service.

A PowerPREP coach may separately hold a professional license, certification, credential, education, or experience in a healthcare, behavioral-health, educational, or related field.

When providing services through PowerPREP, however, that individual is acting in a non-clinical coaching or educational capacity and is not providing healthcare services through PowerPREP.

Professional credentials held by an individual coach do not change the non-clinical nature of the PowerPREP program.

If a PowerPREP coach believes that a member's needs are outside the appropriate scope of coaching, the coach or Life Connect Health may recommend that the member seek evaluation, treatment, or other services from an appropriately licensed healthcare professional.

Any healthcare services obtained by a member are separate from PowerPREP.

Life Connect Health does not guarantee the availability, suitability, quality, or outcome of services provided by any outside healthcare professional or organization.

4. NOT AN EMERGENCY OR CRISIS SERVICE

PowerPREP is not an emergency service, crisis intervention service, or emergency mental health service.

PowerPREP coaching sessions, communications, email accounts, membership features, and messaging systems are not continuously monitored and should not be used to request emergency assistance.

If you believe that you or another person is experiencing a medical or psychiatric emergency or is in immediate danger, call 911 or your local emergency service or go to the nearest emergency department.

5. MEMBERSHIP ELIGIBILITY

You must be at least 18 years old to create and purchase your own PowerPREP membership unless Life Connect Health expressly offers a PowerPREP program that permits participation by minors with appropriate parent or legal guardian consent.

If PowerPREP services are offered to a minor, a parent or legal guardian may be required to establish the account, provide consent, participate in the program, or complete additional documentation.

Life Connect Health may, in its discretion, determine that an individual does not meet the age or eligibility requirements for a particular PowerPREP program or membership.

You represent that all information you provide when registering for or participating in PowerPREP is truthful, accurate, and complete.

You agree to maintain accurate and current account and contact information.

You may not create an account using another person's identity or permit another person to use your membership without authorization.

6. MEMBERSHIP FEES AND AUTOMATIC RENEWAL

PowerPREP is offered as a recurring paid membership unless otherwise stated at the time of purchase.

The applicable membership price, billing frequency, included services, and other material terms will be disclosed before you complete your purchase.

BY PURCHASING A RECURRING POWERPREP MEMBERSHIP, YOU AUTHORIZE LIFE CONNECT HEALTH, LLC OR ITS PAYMENT PROCESSOR TO CHARGE YOUR SELECTED PAYMENT METHOD AT THE MEMBERSHIP RATE DISCLOSED TO YOU AT CHECKOUT AT THE BEGINNING OF EACH BILLING PERIOD UNTIL YOU CANCEL YOUR MEMBERSHIP.

Unless otherwise stated at checkout, your PowerPREP membership automatically renews at the end of each billing period.

You authorize Life Connect Health or its payment processor to charge applicable taxes when required by law.

Life Connect Health may use a third-party payment processor to process membership payments. Life Connect Health does not necessarily receive or maintain your complete payment-card information.

You are responsible for maintaining valid and current payment information.

7. CANCELLATION

You may cancel your PowerPREP membership at any time.

Cancellation is available on a self-service basis through the Stripe customer portal.

If you need assistance with your membership or cancellation, you may contact Life Connect Health at business@lifeconnecthealth.com.

Cancellation prevents your membership from renewing for the next billing period.

Unless otherwise required by law or expressly stated in connection with a particular offer, you will continue to have access to your applicable PowerPREP membership benefits through the end of the billing period for which you have already paid.

It is your responsibility to cancel your membership before your next renewal date if you do not want to be charged for another billing period.

8. REFUNDS

Except where otherwise required by law or expressly stated in connection with a specific offer, PowerPREP membership fees that have already been charged are non-refundable.

Canceling a PowerPREP membership stops future renewals but does not ordinarily result in a refund or prorated refund for the current billing period.

If you believe you were charged in error or have a billing concern, contact business@lifeconnecthealth.com.

Nothing in this section limits any refund or cancellation rights that cannot lawfully be waived.

9. CHANGES TO MEMBERSHIP FEES OR FEATURES

Life Connect Health may change PowerPREP membership prices, benefits, or features from time to time.

For existing recurring members, we will provide advance notice of a material price increase before charging the new recurring rate when required by applicable law.

If you do not agree with a pricing change, you may cancel your PowerPREP membership before the new price takes effect.

Life Connect Health may also add, modify, replace, or discontinue membership features as PowerPREP evolves.

If we make a material change to the core features of a paid membership, we will provide notice when appropriate or required by law.

10. SCHEDULING, CANCELLATIONS, AND NO-SHOWS

PowerPREP coaching appointments, groups, workshops, or other scheduled services may be subject to scheduling, rescheduling, cancellation, or no-show policies communicated through the Stripe customer portal, at the time of scheduling, or through program-specific materials.

Members are responsible for attending scheduled services on time.

Repeated missed appointments, late cancellations, or misuse of scheduling systems may result in restrictions on scheduling or participation in certain PowerPREP services.

11. COMMUNICATIONS

By creating a PowerPREP account or providing contact information, you agree that Life Connect Health may send service-related communications reasonably necessary to administer your membership.

These communications may include:

Marketing communications will be handled in accordance with applicable law, and you may opt out of marketing communications as provided in those communications.

Email, text messaging, and other electronic communications may involve privacy and security risks.

PowerPREP electronic communications are not intended for emergencies or urgent medical or mental health needs.

12. PRIVACY

Our collection, use, storage, and disclosure of personal information are described in the Life Connect Health Privacy Policy.

Because PowerPREP provides non-clinical membership, coaching, education, and skill-building services, information provided through PowerPREP should not be assumed to have the same legal protections or confidentiality privileges that may apply to information shared within a healthcare provider-patient or therapist-client relationship.

Life Connect Health takes reasonable measures designed to protect member information in accordance with applicable law and our Privacy Policy.

13. CONFIDENTIALITY

Life Connect Health takes reasonable steps to protect information shared through PowerPREP's non-clinical membership and coaching services.

However, coaching does not automatically carry the same legal confidentiality protections or privileges that may apply to psychotherapy, medical treatment, or other licensed healthcare services.

Life Connect Health may use or disclose information as permitted by its Privacy Policy, as reasonably necessary to provide or administer PowerPREP, when required by law, or when reasonably necessary to protect the rights, safety, or security of Life Connect Health, its members, or others.

14. GROUP SERVICES

Certain PowerPREP memberships may include group coaching, educational groups, workshops, community discussions, or other activities involving multiple participants.

By participating in a group service, you agree to respect the privacy of other participants.

You may not record, photograph, screenshot, distribute, publish, post, or disclose another participant's personal information, image, statements, or participation without authorization.

Although Life Connect Health may establish confidentiality expectations for PowerPREP group participants, Life Connect Health cannot guarantee that another participant will maintain confidentiality.

By choosing to participate in a group service, you acknowledge and accept this limitation.

15. RECORDINGS

You may not audio-record, video-record, photograph, screenshot, livestream, reproduce, or distribute private PowerPREP coaching sessions, group sessions, workshops, community meetings, or other private PowerPREP programming without prior written permission from Life Connect Health and, where applicable, permission from other participants.

Life Connect Health will obtain any consent required by applicable law before recording private sessions involving members.

16. MEMBER CONDUCT

PowerPREP is intended to provide a respectful and constructive environment.

You agree not to use PowerPREP to:

Life Connect Health may restrict, suspend, or terminate access to PowerPREP for conduct that violates these Terms or materially interferes with the safety, integrity, or operation of the program.

17. INTELLECTUAL PROPERTY

Unless otherwise stated, PowerPREP and its associated website content, videos, graphics, worksheets, educational materials, courses, programs, methodologies, branding, software, text, exercises, tools, and other content are owned by or licensed to Life Connect Health, LLC and are protected by applicable intellectual property laws.

Your PowerPREP membership provides you with a limited, personal, revocable, non-exclusive, non-transferable right to access materials made available through your membership for your own personal, non-commercial use.

You may not, without prior written permission from Life Connect Health:

No ownership interest in PowerPREP intellectual property is transferred to you through your membership.

18. CONTENT YOU PROVIDE

You retain ownership of content you provide to Life Connect Health to the extent that you hold rights in that content.

You represent that you have the right to provide any content you submit and that doing so does not violate another person's rights.

Providing information during a private PowerPREP coaching session does not give Life Connect Health permission to publicly disclose your identity or use your personal story as a testimonial.

Life Connect Health will obtain any consent or authorization required by applicable law before using an identifiable member testimonial, photograph, video, story, or similar material for advertising or promotional purposes.

19. EDUCATIONAL CONTENT AND SOCIAL MEDIA

Information published by Life Connect Health or PowerPREP through websites, social media accounts, videos, podcasts, newsletters, courses, interviews, educational resources, workshops, or other public-facing materials is provided for general informational and educational purposes.

Such information:

Interactions with Life Connect Health, PowerPREP, its coaches, or other team members through social media do not create a clinical relationship.

20. THIRD-PARTY SERVICES

PowerPREP may use, integrate with, or link to third-party services, including payment processors, video platforms, scheduling systems, communication providers, software platforms, member portals, and external websites.

Third-party services may have their own terms, privacy policies, and security practices.

Life Connect Health is not responsible for independently operated third-party websites, content, products, or services except to the extent responsibility cannot lawfully be excluded.

Your use of a third-party service may be governed by that provider's separate terms and policies.

21. AVAILABILITY OF SERVICES

Life Connect Health does not guarantee that any particular PowerPREP coach, appointment time, group, workshop, program, feature, resource, or service will always be available.

Availability may change based on staffing, capacity, technology, program development, member eligibility, scheduling, operational considerations, or other factors.

Life Connect Health reserves the right to add, modify, replace, or discontinue PowerPREP features or programs, subject to applicable law.

22. TECHNOLOGY REQUIREMENTS AND ACCOUNT SECURITY

Virtual coaching and online PowerPREP services require access to compatible technology and a reasonably reliable internet or telecommunications connection.

Technology failures may occasionally interrupt or prevent access to a session or service.

You are responsible for selecting a reasonably private environment when participating in virtual PowerPREP coaching or group programming.

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.

You should notify Life Connect Health promptly at business@lifeconnecthealth.com if you believe your PowerPREP account has been accessed without authorization.

23. NO GUARANTEE OF RESULTS

Individual experiences and results vary.

Life Connect Health does not guarantee that participation in PowerPREP coaching, education, skill development, or other membership services will achieve any particular personal, behavioral, emotional, relationship, professional, financial, health, educational, or other outcome.

Your experience and progress may depend on numerous factors outside Life Connect Health's control, including your individual circumstances, participation, effort, consistency, and implementation of strategies discussed through PowerPREP.

Testimonials, examples, or experiences shared by other members or participants do not guarantee that you will achieve the same or similar results.

24. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POWERPREP'S MEMBERSHIP SERVICES, COACHING SERVICES, EDUCATIONAL CONTENT, DIGITAL RESOURCES, AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

LIFE CONNECT HEALTH DOES NOT WARRANT THAT POWERPREP WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR APPROPRIATE FOR EVERY INDIVIDUAL OR PURPOSE.

LIFE CONNECT HEALTH DOES NOT WARRANT OR GUARANTEE ANY PARTICULAR RESULT FROM PARTICIPATION IN POWERPREP.

NOTHING IN THESE TERMS LIMITS ANY RIGHTS OR WARRANTIES THAT CANNOT LAWFULLY BE WAIVED OR LIMITED.

25. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIFE CONNECT HEALTH, LLC AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF POWERPREP OR INABILITY TO USE POWERPREP.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIFE CONNECT HEALTH'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO POWERPREP, THE SERVICES, OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO LIFE CONNECT HEALTH FOR YOUR POWERPREP MEMBERSHIP DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

26. TERMINATION OR SUSPENSION

You may stop using PowerPREP at any time, subject to the membership cancellation and payment provisions in these Terms.

Life Connect Health may restrict, suspend, or terminate access to PowerPREP when reasonably necessary because of:

Termination of access does not automatically entitle a member to a refund of fees already paid except where required by applicable law.

Provisions of these Terms that by their nature should survive termination, including provisions concerning intellectual property, disclaimers, limitation of liability, governing law, and dispute-related provisions, will survive termination.

27. CHANGES TO THESE TERMS

Life Connect Health may revise these Terms periodically to reflect changes in PowerPREP, our business practices, technology, or applicable legal requirements.

When changes are material, Life Connect Health will provide notice as required by applicable law.

The “Last Updated” date at the beginning of these Terms indicates when they were most recently revised.

Your continued use of PowerPREP after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

If you do not agree with revised Terms, you should discontinue use of PowerPREP and cancel your membership.

28. GOVERNING LAW AND JURISDICTION

These Terms and any dispute arising out of or relating to these Terms or PowerPREP will be governed by the laws of the State of Tennessee, without regard to its conflict-of-law principles, except to the extent another jurisdiction's law must apply.

Subject to any rights or remedies that cannot lawfully be waived, any legal action or proceeding arising out of or relating to these Terms or PowerPREP will be brought in a court of competent jurisdiction located in the State of Tennessee.

You and Life Connect Health consent to the jurisdiction of such courts, subject to applicable law.

Nothing in this section limits any consumer right or protection that cannot lawfully be waived.

29. SEVERABILITY

If any provision of these Terms is determined by a court or other authority of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

30. NO WAIVER

Life Connect Health's failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Any waiver must be in writing to be effective unless otherwise required by applicable law.

31. ENTIRE AGREEMENT

These Terms, together with the Life Connect Health Privacy Policy and any PowerPREP membership, payment, program-specific, community, or other terms expressly incorporated into them, constitute the applicable agreement between you and Life Connect Health regarding your use of PowerPREP.

These Terms supersede prior understandings or agreements concerning the same subject matter, except for agreements expressly intended to remain separate and effective.

MEMBER ACKNOWLEDGMENT

By creating a PowerPREP account, purchasing a PowerPREP membership, or otherwise participating in PowerPREP, you acknowledge that you have read, understood, and agree to these Terms of Service.

You specifically acknowledge and understand that:

PowerPREP is a non-clinical coaching, education, and skill-building program created and operated by Life Connect Health, LLC. PowerPREP does not provide medical care, psychotherapy, psychiatric treatment, psychological treatment, diagnosis, or other healthcare services. Participation in PowerPREP does not establish a healthcare provider-patient relationship.

If you purchase a recurring PowerPREP membership, you further acknowledge and agree that:

Your PowerPREP membership will automatically renew at the frequency and price disclosed to you at checkout unless and until you cancel it.
